Clear guidelines for using our platform and services. 

Regenyx® digital platform (the “Platform”) is operated by Regenyx Health & Wellness, LLC, a non-clinical technology company that provides digital infrastructure and administrative support services (“Regenyx,” “we,” “us,” or “our”) owns and operates the websites located at www.regenyxhealthwellness.com and www.regenyx.health and may have previously, now or in the future own and/or operate a “Regenyx” mobile application (collectively, the “Platform”). 

By accessing or using the Platform, you agree to these Terms. If you do not agree, you may not access or use the Platform. 

Regenyx does not provide medical care, advice, diagnoses, or treatment. We do not practice medicine or any licensed profession. 

We do not control or influence medical decision-making. 

Medical services that may be made available through the Platform are provided solely by independent, licensed healthcare professionals or professional entities that are not owned, operated, or controlled by Regenyx (each, a “Provider”). 

Providers are solely responsible for all medical judgment, diagnosis, treatment, prescribing decisions, and patient care. 

Access to Provider services depends on your physical location at the time of consultation, applicable state law, and the individual Provider’s licensure. 

Telehealth services are offered nationwide within the United States, subject to these requirements. Patients must be physically located in a state where the Provider delivering services is licensed at the time of consultation. 

Availability of specific services may vary based on state regulations and clinical appropriateness, as determined solely by the independent Provider. 

Services are not available outside of the United States. The Platform may not be available in all locations where prohibited by law. 

Regenyx does not control provider licensure status or clinical practice locations. 

Regenyx provides software tools, record-keeping infrastructure, and other digital resources that may be used by Providers in connection with their independent medical practices.

Regenyx does not supervise, manage, or direct Providers’ clinical activities and does not exercise medical judgment.

Medical records are created, maintained, and controlled by independent licensed Providers in accordance with applicable law. Regenyx is not the custodian of medical records.

Any content on the Platform is for general information only. It is not a substitute for professional medical advice. Reliance on such content is at your own risk.

Any prescription medications, if prescribed, are dispensed by independent, licensed pharmacies. Regenyx does not own or operate pharmacies and does not manufacture, compound, or dispense medications.

Regenyx may facilitate payment processing and provide non-clinical administrative services through the Platform. Payments are processed through third-party payment processors. Regenyx does not store full payment card information. Regenyx does not practice medicine, does not control clinical decision-making, and does not receive compensation based on medical judgment or prescribing decisions. 

If a licensed Provider independently determines that a treatment protocol is clinically appropriate, you may be offered the option to purchase prescription medications and/or laboratory diagnostic services associated with that protocol. These charges are separate from membership fees and apply only if a Provider approves a protocol, and you authorize the applicable charge. 

If a Provider determines that treatment is not appropriate, medication-related charges will not apply. 

Private-Pay Services. All services made available through the Platform are offered on a private-pay basis only. Regenyx and the Providers do not submit claims to private insurance, Medicare, Medicaid, or other government healthcare programs. Users are responsible for payment of all applicable fees. 

Membership Billing & Cancellation. Membership fees are billed monthly and renew automatically unless canceled. 

Membership fees are considered earned once the applicable billing period begins and access to the Platform and Provider consultation has been made available. 

You may cancel your membership at any time by contacting hello@regenyx.health prior to your next scheduled billing date. Cancellation stops future recurring charges only and does not reverse charges already billed. 

Refunds. Membership fees are non-refundable once billed. 

Prescription medication and laboratory-related charges, if authorized and processed, are non-refundable once fulfillment or processing has begun, except where required by applicable law. 

Regenyx may, in its sole discretion, determine whether to issue a refund in limited circumstances. Any such determination does not create a right to a refund or establish a precedent. 

By providing your mobile phone number and choosing to receive text messages through the Platform, you consent to receive SMS or MMS messages from Regenyx and its authorized service providers. 

These messages may include: 

  • Service-related messages such as account notifications, appointment reminders, care coordination updates, and platform alerts 
  • Marketing messages such as wellness offerings, program updates, educational content, and promotions related to Regenyx services 

Message frequency may vary. Message and data rates may apply depending on your mobile carrier and plan. 

Consent & Opt-In. Your consent to receive text messages is voluntary and is not required to access medical services or care. Consent may be provided through the Platform, including during account creation, form submissions, marketing sign-ups, or other interactions where you choose to receive text communications. 

Opt-Out & Support. You may stop receiving text messages at any time by replying STOP, UNSUBSCRIBE, or CANCEL to any message. Depending on the type of messages you receive, opting out may apply only to certain messages, such as marketing messages, while service-related messages may continue as needed for your use of the Platform. 

You may receive a single confirmation message. For help, reply HELP or contact Regenyx using the contact information provided on the platform. 

You must be at least eighteen (18) years old and capable of entering into a legally binding agreement to use the Platform. You represent that all information you provide is accurate and complete. 

You may be required to create an account to access certain features of the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to notify Regenyx promptly of any unauthorized use of your account.

By using the Platform, you establish a direct customer relationship with Regenyx for access to the Platform and related non-clinical services. You do not establish a doctor-patient or other healthcare provider relationship with Regenyx.

In connection with your use of the Platform, you may provide personal information. All information collected through the Platform is handled in accordance with the Regenyx Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform to access services from Providers, you acknowledge and consent to the use of Telehealth technologies where permitted by applicable law.

Telehealth services are provided solely by independently licensed Providers who retain full responsibility for clinical decision-making.

Your use of Telehealth services is subject to the Regenyx Telehealth Consent, which is incorporated into these Terms by reference and available on the Platform. By using Telehealth services, you acknowledge that you have reviewed and agree to the Telehealth Consent.

You may withdraw consent to Telehealth at any time by discontinuing use of the Platform or notifying your Provider.

Telehealth services are not appropriate for emergencies. If you are experiencing a medical emergency, call 911 or seek immediate in-person care.

The Platform and any text messaging features are not intended for emergency or urgent use.

If you believe you are experiencing a medical emergency, call 911 or seek immediate in-person emergency care.

If you are experiencing thoughts of self-harm or suicide, call 911 or contact the 988 Suicide & Crisis Lifeline immediately by dialing 988.

You agree not to:

  • Use the Platform for unlawful or fraudulent purposes
  • Interfere with Platform operation or security
  • Attempt unauthorized access to systems or data
  • Provide false or misleading information

We may suspend or terminate your access for violations.

All content, software, trademarks, logos, and other materials made available through the Platform are owned by or licensed to Regenyx and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes in accordance with these Terms.

The Platform may include links to or integrations with third-party services, including Provider services, pharmacy services, and messaging providers. Regenyx does not control and is not responsible for the content, policies, or practices of any third party.

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Regenyx disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Regenyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. Regenyx is not responsible for the acts or omissions of Providers, pharmacies, or third-party service providers.

You agree to indemnify and hold harmless Regenyx from and against any claims, liabilities, damages, losses, or expenses arising out of your use of the Platform, your violation of these Terms, or your interactions with Providers or third parties.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration on an individual basis, and not as a class or collective action, except where prohibited by law.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

Regenyx may modify these Terms from time to time. Changes are effective upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

How we collect, use, and protect your information.

Regenyx® digital platform (the “Platform”) is operated by Regenyx Health & Wellness, LLC, a non-clinical technology company that provides digital infrastructure and administrative support services (“Regenyx,” “we,” “us,” or “our”).

This Privacy Policy explains how information is collected, used, and shared when you visit our website, register for the platform, or interact with Regenyx services. Medical care is provided by independent licensed healthcare providers, not by Regenyx.

Clear guidelines for using our platform and services. 

This Privacy Policy applies to individuals who visit the Regenyx website, register for an account, or otherwise interact with the Regenyx platform and related non-clinical services. Specifically, this Privacy Policy governs information collected in connection with: 

  • The Regenyx website 
  • Platform registration and account access 
  • Non-clinical technology, administrative, and support services provided by Regenyx 

This Privacy Policy does not govern: 

  • Medical care or clinical services provided by independent licensed healthcare providers 
  • Medical records or clinical information maintained by such providers 
  • Third-party websites, services, or applications that may be linked to or accessible from the Regenyx platform 

Independent healthcare providers and third parties maintain their own privacy practices and are responsible for their own compliance with applicable laws. 

Information You Provide 
We collect information you voluntarily provide, such as: 

  • Name, email address, phone number 
  • Interest & Preference (Non-Clinical). We may collect information you choose to share about your interests and preferences (e.g., interests for wellness or performance) to personalize your experience and route you to relevant non-clinical resources 
  • Account login credentials 
  • Platform registration details 
  • Communications with customer support 
  • Non-clinical interest or preferences you choose to share 

We do not use health or clinical information for advertising or targeted marketing. 

Information Collected Automatically 
When you visit the website or use the platform, we automatically collect: 

  • IP address 
  • Device type, browser, and operating system 
  • Session timestamps 
  • Pages viewed and interaction data 

This information is used for security, platform performance, and analytics. 

We collect limited information about how users find Regenyx, such as:

  • Referral source (e.g., Facebook, Instagram, search engines)
  • Campaign identifiers (e.g., UTM parameters)
  • Interaction with marketing pages

Important: Marketing and analytics tools are limited to non-clinical pages. Regenyx does not use medical or health information for advertising or marketing purposes.

We use this information to understand which pages and messages are helpful and to improve site performance.

We do not use health or clinical information or information submitted in provider-directed clinical flows for advertising or targeted marketing. 

If you contact Regenyx, we may collect emails, support inquiries, or administrative communications. Communications may be retained for quality, training, and compliance purposes.

SMS Communications 
If you give us your mobile number and opt in, we may send text messages about your account and use of the Platform. These may include scheduling updates, billing notices, security alerts, support replies, and general platform information. 

We do not provide medical advice, diagnoses, lab results, prescription details, or treatment information by text. Clinical matters are handled by independent licensed Providers through their own systems. Message frequency may vary. Message and data rates may apply. You are not required to receive texts to access services. You may opt out of marketing texts at any time by replying STOP, UNSUBSCRIBE, or CANCEL. Account-related messages needed to manage your active account may continue while your account is active. 

We may use contracted service providers to send text messages on our behalf.

SMS Opt-in Data & Consent Disclosure 
We will not share your opt-in to an SMS campaign with any third party for purposes unrelated to providing you with the services of that campaign. We may share your Personal Data, including your SMS opt-in or consent status, with third parties that help us provide our messaging services, including but not limited to platform providers, phone companies, and any other vendors who assist us in the delivery of text messages. 

All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. 

No mobile information will be sold or shared with third parties for promotional or marketing purposes. 

Payments are processed by third-party payment processors. Regenyx does not store full credit or debit card numbers and receives only limited transaction information, such as payment status. 

Regenyx does not provide medical care and is not the custodian of medical records. 

Health information submitted through the Platform is collected on behalf of the independent licensed Providers and is governed by their privacy practices and applicable law. Regenyx accesses such information only to provide permitted technology and administrative support services. 

Where applicable, protected health information is handled in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable privacy laws. 

How We Use Information 
We use information to: 

  • Operate and maintain the platform 
  • Create and manage user accounts 
  • Provide customer support 
  • Enable communications and notifications 
  • Process payments 
  • Monitor security and prevent fraud 
  • Analyze platform performance and marketing effectiveness 
  • Comply with legal obligations 

Regenyx does not use information to make medical or clinical decisions. 

How Information Is Shared 
Regenyx shares information only as reasonably necessary to operate the platform, provide services, and comply with legal obligations.

We may share information with third-party service providers that perform services on our behalf, such as: 

  • Website and application hosting 
  • Communications delivery (e.g., email or SMS)

These service providers are permitted to use information only to perform services for Regenyx and are subject to contractual confidentiality and data protection obligations. 

If you purchase non-clinical products, we may share order and shipping information with fulfillment partners to complete delivery. 

We may share information with independent licensed healthcare Providers to facilitate services you request. Providers are solely responsible for medical care and for maintaining medical records. 

We may disclose information when we believe such disclosure is necessary to: 

  • Comply with applicable law, regulation, subpoena, or court order 
  • Respond to lawful requests from government authorities 
  • Protect the rights, property, or safety of Regenyx, users, providers, or others 
  • Detect, prevent, or address fraud, security, or technical issues 

Information may be disclosed in connection with a merger, acquisition, financing, restructuring, or sale of all or a portion of Regenyx’s assets, subject to appropriate confidentiality protections. 

Regenyx does not: 

  • Sell personal information 
  • Use medical or health information for advertising purposes 
  • Use health or clinical information for advertising 
  • Share health information for marketing 

Allow services to use data for their own purposes.

Regenyx implements administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, use, alteration, or disclosure. Safeguards are applied based on the type and sensitivity of the information involved. 

Information transmitted through the Platform is protected using Secure Socket Layer (SSL) encryption technology. 

Information processed through the platform may include: 

  • Personal Information (PII), such as contact and account information 
  • Payment Information (PCI), which is processed exclusively by third-party payment processors and not stored by Regenyx 
  • Health-related information, which is processed on behalf of licensed medical providers and is subject to provider-controlled privacy and security obligations 

Security measures include, where appropriate: 

  • Role-based access controls and least-privilege principles 
  • Encryption of data in transit and at rest 
  • Secure authentication and access monitoring 
  • System logging and activity monitoring 
  • Vendor security and confidentiality requirements 
  • Periodic review of security practices and controls 

Access to information is limited to authorized personnel and service providers who require such access to perform permitted functions on our behalf. 

While we take reasonable steps to safeguard information, no system can be guaranteed to be completely secure, and we cannot guarantee absolute security. 

We retain information only as long as reasonably necessary to: 

  • Provide services 
  • Meet legal and compliance obligations 
  • Resolve disputes and enforce agreements 

Information may be deleted or de-identified when no longer required. Retention periods vary based on the type of information (e.g., account, communications, or transactional records) and legal requirements. 

Depending on your location, you may have rights to access, correct, delete, or limit the use of your information. You may have the right to opt out of certain sharing on targeted advertising where required by law. Requests may be submitted to privacy@regenyx.health. You may also be able to use browser-based controls (such as cookie settings) to limit certain tracking technologies. Requests may be submitted to privacy@regenyx.health. 

The Regenyx platform is intended for individuals eighteen (18) years of age or older. We do not knowingly collect information from children. 

We may update this Privacy Policy from time to time. Updates will be posted with a revised effective date. 

Medical Provider

Clinical Services & Medical Oversight 

Regenyx Health & Wellness is a non-clinical management services organization (MSO). We provide administrative, technology, and care coordination support, but do not provide medical care. 

All clinical services available through the Regenyx Health & Wellness platform are delivered exclusively by licensed medical providers practicing through SamaritanMD. 

SamaritanMD is an independent medical group that employs or contracts with physicians and other licensed healthcare professionals authorized to practice in their respective jurisdictions. 

Regenyx Health & Wellness does not: 

  • Practice medicine 
  • Employ prescribing providers 
  • Direct clinical decision-making 
  • Influence prescribing decisions 
  • Determine patient eligibility for treatment 

All medical decisions are made solely by licensed providers. 

Provider Network & State Licensure 

Licensed medical providers practicing through SamaritanMD are credentialed and authorized to provide telehealth services in the states in which they are licensed. 

Telehealth services are available to patients physically located in all 50 United States and the District of Columbia at the time of consultation, subject to provider availability and applicable state laws. 

A provider licensed in the patient’s state of physical location will be assigned prior to consultation. If no appropriately licensed provider is available in a jurisdiction, services will not proceed. 

Provider licensure is verified and maintained through SamaritanMD’s credentialing process and facilitated through the Prescribery telehealth platform. 

Telehealth Platform 

Clinical encounters are facilitated using the Prescribery HIPAA-compliant telehealth platform. The platform supports: 

  • Secure patient intake and medical history collection 
  • Electronic health record documentation 
  • Secure messaging 
  • Synchronous (live video) consultations when required 
  • Asynchronous provider review when permitted by applicable law 

The modality of care (synchronous or asynchronous) is determined by: 

  • State-specific telehealth regulations 
  • Controlled substance requirements 
  • Clinical appropriateness 
  • Federal prescribing laws 

Provider Identification & Transparency 

Patients are informed of the identity, credentials, and state licensure of their assigned provider prior to or during consultation. 

Provider information is available to patients through the telehealth platform and medical record documentation. 

Regenyx does not obscure, anonymize, or withhold provider identity from patients receiving care. 

For jurisdictions that require public posting of provider identifying information (including Massachusetts, Rhode Island, and Vermont), Regenyx ensures that appropriate disclosures are made in compliance with applicable state law. 

Additional provider credentialing information may be made available upon request, where permitted by law. 

Prescription & Pharmacy Oversight 

Prescriptions are issued solely by licensed providers practicing through SamaritanMD. 

Regenyx does not: 

  • Prescribe medications 
  • Dispense medications 
  • Store medications 
  • Ship medications 
  • Compound medications 
  • Control pharmacy operations 

Prescriptions are transmitted directly from the licensed provider to a properly licensed pharmacy using compliant electronic prescribing systems. 

Dispensing pharmacies independently verify: 

  • Provider licensure 
  • Prescription validity 
  • Patient shipping address 
  • Jurisdictional authorization to dispense 

Medications are shipped only where legally authorized. 

Controlled Substances & PDMP Compliance 

When applicable, providers comply with all federal and state-controlled substance regulations, including: 

  • Conducting synchronous consultations when required 
  • Reviewing applicable Prescription Drug Monitoring Programs (PDMPs) 
  • Documenting PDMP review in the medical record 
  • Utilizing EPCS-compliant prescribing systems 

Regenyx does not access PDMP systems directly. 

Role Separation 

Regenyx Health & Wellness, LLC and SamaritanMD operate under a structured separation of roles consistent with state corporate practice of medicine requirements. 

Regenyx provides administrative and technological support services only. SamaritanMD and its licensed providers maintain full and independent authority over: 

  • Diagnosis 
  • Treatment Decisions 
  • Prescribing Determinations 
  • Clinical Documentation 
  • Follow-Up Care

Telehealth Consent 

Your consent helps us provide safe and secure care online. 

Purpose of This Consent

This Consent explains the use of telehealth in connection with healthcare services provided to you by independently licensed healthcare professionals (each, a “Provider”), including nurse practitioners, physician assistants, and physicians, who are solely responsible for all clinical decision-making and who practice under a Medical Director arrangement where required by law. 

Informed Consent Regarding Telehealth

What Telehealth Is 
Telehealth involves the delivery of healthcare services using electronic communications when you and your Provider are not in the same physical location and may include secure messaging, questionnaires, audio or video consultations, review of medical information, and follow-up care. 

Telehealth services are provided only where permitted by law and are based on your physical location at the time services are rendered. 

Your Provider will determine, in their sole clinical discretion, whether telehealth is appropriate for your condition. 

Telehealth has inherent limitations, including the inability to perform certain physical examinations or diagnostic testing. Alternative methods of care, including in-person services, may be available and can be discussed with your Provider.

Anticipated Benefits

The use of telehealth may provide certain non-clinical benefits, including: 

  • Increased access to healthcare services 
  • The ability to communicate with a Provider without an in-person visit 
  • Improved convenience in scheduling and follow-up care 

No specific medical outcomes, diagnoses, treatments, or results are guaranteed.

Potential Risks & Limitations

Telehealth involves the use of electronic communications and technology and, as a result, may be subject to limitations or interruptions that could affect the timing or scope of care. 

Because telehealth does not involve an in-person examination, there may be limitations in a Provider’s ability to fully assess certain conditions. 

Telehealth may not be appropriate for all medical concerns. Your Provider will determine, in their sole clinical discretion, whether telehealth is appropriate and may require in-person care, referral to another provider, or emergency services when clinically indicated.

Use of Technology

Regenyx provides software tools and record-keeping infrastructure. Providers may use these in connection with their independent practices. 

We do not supervise or direct providers’ clinical activities. We do not exercise medical judgment. 

Emergencies & Urgent Care

Telehealth services are not appropriate for emergency situations. 

If you believe you are experiencing a medical emergency or a life-threatening condition, you must seek immediate care by calling 911 or going to the nearest emergency department. 

If you are experiencing thoughts of self-harm or suicide, call 911 or the 988 Suicide & Crisis Lifeline immediately. 

Providers may not be able to review or respond to communications submitted through the platform in real time. Telehealth should not be relied upon for urgent or emergent care. 

Data Privacy & Protection

Your medical records are created, maintained, and controlled by your Provider in accordance with applicable federal and state laws, including the Health Insurance Portability and Accountability Act (HIPAA).

Regenyx provides non-clinical technology and administrative support services and may process certain information on behalf of Providers in accordance with applicable law and contractual obligations. Regenyx does not practice medicine and does not control clinical records.

While reasonable administrative, technical, and physical safeguards are used to support the platform, no electronic system can guarantee absolute security, particularly when communications involve third-party services such as email, mobile networks, or internet service providers.

Use and disclosure of your protected health information are governed by your Provider’s Notice of Privacy Practices.

Laboratory Testing

Your Provider may determine that laboratory testing is medically appropriate as part of your care. Any laboratory tests are ordered by your Provider in their sole clinical discretion.

Laboratory testing services are performed by independent third-party laboratories that are not operated or controlled by Regenyx.

Regenyx may facilitate non-clinical logistics or technology related to testing, but does not perform, supervise, or interpret laboratory testing. Laboratory results may be delayed, incomplete, or inconclusive, and no specific results or outcomes are guaranteed.

Pharmacy Services

If a prescription is issued, it is issued solely by your Provider based on their independent clinical judgment. You may choose any pharmacy of your choice to fill your prescription.

However, certain medications, including compounded medications, may only be available through specific pharmacies capable of preparing or dispensing such medications. If you elect to use a pharmacy accessible through the platform, prescriptions may be transmitted electronically to that pharmacy at your request for fulfillment.

Regenyx maintains relationships with independent third-party pharmacies to facilitate access to prescribed medications as a matter of administrative convenience. Pharmacy services are provided solely by independent pharmacies that are not operated or controlled by Regenyx.

Regenyx does not dispense medications and does not influence prescribing decisions.

If you prefer not to use a pharmacy accessible through the platform, you may request that your prescription be sent to another pharmacy of your choosing. Regenyx and your Provider do not guarantee that an alternative pharmacy will be able to fill the prescription.

All services are offered on a private-pay basis only. Regenyx and the Providers do not submit claims to insurance, Medicare, Medicaid, or other government healthcare programs.

Medication availability, fulfillment timing, and pricing are determined by the dispensing pharmacy and are not guaranteed.

Open Payment Notice

The federal Physician Payments Sunshine Act requires certain financial relationships between healthcare providers and manufacturers of drugs, medical devices, and biologics to be publicly disclosed. For informational purposes only, the Centers for Medicare & Medicaid Services Open Payments database is available at openpaymentsdata.cms.gov. 

Financial Disclosures

These arrangements do not influence clinical decision-making.

You are free to seek care from any healthcare provider not affiliated with Regenyx. However, Regenyx Services are designed to support care delivered by Providers who utilize the Regenyx platform, and Regenyx does not guarantee the availability or functionality of services for care delivered outside of the platform.

Purpose of This Consent

By accepting this Consent, you acknowledge and agree that: 

  • Healthcare services are provided via telehealth by independently licensed Providers 
  • Providers retain sole authority over diagnosis, treatment, and prescribing decisions 
  • Telehealth has limitations and may not be appropriate in all cases 
  • Your Provider determines, in their sole clinical discretion, whether telehealth is appropriate for your care 
  • You may withdraw consent to telehealth at any time by providing written notice to your Provider 
  • You are responsible for providing accurate, complete, and truthful information relevant to your care 
  • Services are offered on a private-pay basis only and are not submitted for reimbursement to insurance, Medicare, Medicaid, or other government healthcare programs
